1. Purpose
- This policy defines the subscription plans, membership fees, benefits, payment terms, and conditions applicable to vendors operating on the Marketplace platform in Bangladesh.
- The objective is to:
- Maintain platform quality
- Offer fair access to vendors of all sizes
- Support sustainable marketplace operations
2. Vendor Subscription Requirement
- All vendors must select a subscription or membership plan to sell on the platform.
- Subscription plans may vary based on:
- Vendor size
- Product category
- Sales volume
- The marketplace reserves the right to modify or introduce new plans.
3. Subscription Plans (Sample Structure)
A. Free / Starter Plan
- Monthly Fee: BDT 0
- Suitable for: New or small vendors
- Features:
- Limited product listings (e.g., up to 20 products)
- Standard commission rates
- Basic seller dashboard access
- Standard customer support
- Limitations:
- Lower search visibility
- No access to premium promotions
B. Standard Vendor Plan
- Monthly Fee: BDT 500 – 1,000
- Features
- Higher product listing limit (e.g., up to 100 products)
- Reduced commission rate
- Priority customer support
- Participation in platform campaigns
- Access to sales analytics
C. Premium / Business Vendor Plan
- Monthly Fee: BDT 2,000 – 5,000
- Features:
- Unlimited or high-volume product listings
- Lowest commission rates
- Featured vendor badge
- Top search visibility
- Dedicated account support
- Early access to new features
4. Payment Terms
- Subscription fees are payable monthly, quarterly, or annually, depending on the plan.
- Fees must be paid in advance.
- Accepted payment methods:
- bKash
- Nagad
- Rocket
- Bank transfer
- Card payments (if supported)
5. Non-Payment Consequences
- Failure to pay subscription fees may result in:
- Temporary listing suspension
- Reduced visibility
- Account suspension after notice
- Repeated non-payment may lead to account termination.
6. Refund Policy
- Subscription fees are non-refundable, except:
- Duplicate payments
- Platform technical errors
- No refunds for unused subscription periods.
7. Upgrade, Downgrade & Cancellation
- Vendors may upgrade or downgrade plans at any time.
- Upgrades take effect immediately after payment.
- Downgrades take effect from the next billing cycle.
- Vendors may cancel subscriptions subject to:
- Completion of pending orders
- Clearance of dues or penalties
8. Taxes & Legal Compliance (Bangladesh)
- Subscription fees may be subject to VAT as per Bangladesh government regulations.
- Vendors are responsible for:
- VAT registration (if applicable)
- Tax compliance related to their business
9. Promotional Offers & Discounts
- The marketplace may offer:
- Introductory discounts
- Festival or campaign offers
- Limited-time free upgrades
- Such offers are time-bound and non-transferable.
10. Subscription Fee Adjustments
- The marketplace reserves the right to:
- Change subscription fees
- Modify plan benefits
- Vendors will be notified at least 15–30 days in advance.
11. Termination Due to Policy Violations
- Subscription fees will not be refunded if the vendor account is terminated due to:
- SLA breaches
- Fraud
- Legal violations
- Policy abuse
12. Governing Law
- This policy is governed by the laws of the People’s Republic of Bangladesh, including:
- Consumer Rights Protection Act, 2009
- Digital Commerce Guidelines
13. Acceptance
- By subscribing to a membership plan, the vendor confirms that:
- They understand the subscription fees and benefits
- They agree to all platform policies
- Fees are payable as per the selected plan
